Welcome to BharatOne Services and Affiliates Pvt. Ltd. ("BharatOne", "Company", "we", "our", or "us").

These Terms of Use ("Terms") govern your access to and use of BharatOne's websites, mobile applications, APIs, merchant portals, retailer portals, software systems, communication channels, and associated digital services (collectively, the "Services").

By accessing, registering for, onboarding to, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Services.

1. Platform Nature

BharatOne operates as a technology-enabled digital commerce, payment facilitation, government services, merchant enablement, financial technology, and business services platform.

The Company provides software systems, APIs, merchant enablement solutions, franchise and retailer platforms, operational infrastructure, business management tools, and technology services that enable customers and businesses to access a wide range of digital, financial, commercial, and government-related services.

Certain Services available through BharatOne are facilitated, processed, fulfilled, or operated in collaboration with authorized:

  • Banking institutions;
  • Payment aggregators;
  • Payment gateways;
  • Government departments;
  • Telecom operators;
  • Utility providers;
  • Insurance companies;
  • Travel service providers;
  • Technology partners; and
  • Other regulated ecosystem participants.

Use of such Services may additionally be governed by the applicable terms, policies, operational procedures, and regulatory requirements of those third-party partners.

2. Eligibility

You may use the Services only if:

  • You are legally competent to enter into a binding agreement under applicable law.
  • You are at least eighteen (18) years of age.
  • The information provided by you is accurate, complete, and current.
  • Your use of the Services complies with applicable laws and regulations.

If you use the Services on behalf of a company, organization, merchant, retailer, or other legal entity, you represent and warrant that you have the necessary authority to bind such entity to these Terms.

3. User Accounts

Certain Services require registration, onboarding, verification, or account creation.

Users are responsible for:

  • Maintaining the confidentiality of usernames, passwords, PINs, and OTPs.
  • Preventing unauthorized access to their accounts.
  • Keeping profile and KYC information accurate and updated.
  • All activities conducted through their accounts.

BharatOne may suspend, restrict, or terminate access where:

  • False or misleading information is submitted.
  • Fraudulent or suspicious activity is detected.
  • Operational or security risks arise.
  • Regulatory, banking partner, or legal requirements necessitate such action.
  • These Terms or applicable policies are violated.

4. Services

Services available through BharatOne may include:

  • Government-to-Citizen (G2C) services.
  • Banking and assisted financial services.
  • Bill payment services.
  • Utility payment services.
  • Mobile, DTH, FASTag, and recharge services.
  • Money transfer and payment services (where available).
  • Merchant onboarding.
  • QR code and payment collection solutions.
  • Retailer and franchise services.
  • ERP and business software.
  • API and white-label technology solutions.
  • Insurance facilitation services.
  • Travel booking services.
  • Digital document and certificate services.
  • Communication and notification services.
  • Other partner-enabled digital commerce services.

Availability of Services may vary based on regulatory approvals, operational conditions, geographic coverage, partner integrations, technical limitations, and applicable eligibility requirements.

BharatOne reserves the right to modify, suspend, restrict, or discontinue any Service or platform feature at its discretion.

5. User Responsibilities

Users agree to:

  • Use the Services lawfully and responsibly.
  • Provide accurate and authentic information.
  • Comply with applicable laws and regulations.
  • Maintain confidentiality of account credentials.
  • Cooperate with verification and compliance requests.
  • Protect BharatOne's systems from misuse.

Users shall not:

  • Engage in fraudulent or deceptive activities.
  • Misuse customer or third-party information.
  • Attempt unauthorized access to systems or accounts.
  • Interfere with BharatOne's platform or security controls.
  • Conduct fake, manipulated, or unauthorized transactions.
  • Upload malware, viruses, or malicious software.
  • Use the Services for unlawful purposes.
  • Violate the intellectual property rights of BharatOne or third parties.

6. Verification and Security

Access to certain Services may require Users to complete identity verification or submit supporting documentation.

BharatOne or its authorized partners may implement:

  • KYC verification.
  • Merchant Due Diligence (MDD).
  • Customer Due Diligence (CDD).
  • Fraud prevention measures.
  • Risk assessments.
  • Transaction monitoring.
  • Device and session monitoring.
  • Account verification.
  • Operational reviews.

Users are responsible for safeguarding their authentication credentials and promptly reporting unauthorized account activity or suspected fraud.

7. Third-Party Services and Partner Infrastructure

Certain Services depend upon:

  • Banks.
  • Payment aggregators.
  • Payment gateways.
  • NPCI-enabled systems.
  • Government departments.
  • Telecom operators.
  • Utility providers.
  • Insurance companies.
  • Travel partners.
  • API providers.
  • Cloud infrastructure providers.
  • Other authorized ecosystem participants.

Users acknowledge that:

  • Certain Services are operated by third parties.
  • Transaction processing and settlements depend upon external systems.
  • Third-party terms and policies may apply.

BharatOne is not responsible for downtime, delays, failures, or interruptions arising from third-party systems beyond its reasonable control.

8. Fees and Charges

Certain Services may involve:

  • Service charges.
  • Convenience fees.
  • Subscription fees.
  • Transaction processing fees.
  • Merchant onboarding charges.
  • Franchise fees.
  • API usage fees.
  • Government service fees.
  • Partner charges.
  • Applicable taxes.

Pricing shall be governed by BharatOne's Service Charges & Pricing Policy, service-specific disclosures, commercial agreements, and applicable law.

9. Refunds and Cancellations

Refunds, reversals, cancellations, and failed transaction handling shall be governed by:

  • BharatOne's Refund & Cancellation Policy.
  • Banking partner procedures.
  • Government department rules.
  • Payment partner policies.
  • Transaction status.
  • Nature of the Service.

Certain transactions or fees may be non-refundable.

10. Intellectual Property

All software, trademarks, logos, branding, APIs, platform interfaces, content, source code, databases, documentation, workflows, and other intellectual property associated with the Services are owned by or licensed to BharatOne unless otherwise stated.

Users may not copy, reproduce, distribute, modify, reverse engineer, decompile, create derivative works from, or commercially exploit any portion of the Services without BharatOne's prior written consent.

11. Privacy and Data Protection

Use of the Services is subject to BharatOne's:

  • Privacy Policy.
  • Data Protection & Localization Statement.
  • KYC Policy.
  • Security Policy.
  • Other applicable operational policies.

Users acknowledge that information may be collected, processed, stored, and shared with authorized banking partners, payment service providers, government authorities, technology providers, and other authorized ecosystem participants where necessary for service delivery, fraud prevention, regulatory compliance, verification, security, and operational purposes.

Where required by applicable law, regulated customer and payment-related information is stored and processed within India.

12. Platform Availability

BharatOne endeavors to maintain reliable platform operations but does not guarantee uninterrupted, continuous, secure, or error-free availability of the Services.

Temporary interruptions may occur due to:

  • Scheduled maintenance.
  • Government portal downtime.
  • Banking system maintenance.
  • Telecom failures.
  • Cybersecurity incidents.
  • Software upgrades.
  • External infrastructure dependencies.
  • Technical failures.

13. Suspension and Termination

BharatOne may suspend, restrict, or terminate access where:

  • Fraud or suspicious activity is detected.
  • Security risks arise.
  • Regulatory or legal requirements require such action.
  • Users violate these Terms or applicable policies.
  • Platform integrity or customer interests may be adversely affected.

Termination shall not affect obligations or liabilities accrued prior to termination.

14. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, BharatOne disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, availability, accuracy, reliability, and non-infringement.

15. Limitation of Liability

To the maximum extent permitted by law, BharatOne shall not be liable for:

  • Indirect, incidental, special, or consequential damages.
  • Loss of profits or business opportunities.
  • Delays caused by banks, payment partners, government departments, telecom operators, or other third parties.
  • Unauthorized account access resulting from User negligence.
  • API failures, network interruptions, or infrastructure downtime.

Where liability cannot be excluded, BharatOne's aggregate liability shall not exceed the amount directly paid by the User to BharatOne for the specific Service giving rise to the claim.

16. Indemnity

Users agree to indemnify, defend, and hold harmless BharatOne, its directors, officers, employees, affiliates, licensors, technology partners, service providers, and agents against all claims, damages, losses, liabilities, penalties, costs, and expenses arising from:

  • Breach of these Terms.
  • Misuse of the Services.
  • Fraudulent or unlawful conduct.
  • Violation of applicable laws.
  • Infringement of third-party rights.
  • Submission of inaccurate or misleading information.

17. Compliance and Cooperation

BharatOne may maintain operational, compliance, audit, fraud prevention, and security records to support:

  • Regulatory compliance.
  • Fraud investigations.
  • Dispute resolution.
  • Security monitoring.
  • Operational reviews.
  • Lawful requests.

BharatOne may cooperate with banks, payment system providers, government authorities, regulators, law enforcement agencies, and other authorized entities where required by applicable law or contractual obligations.

18. Changes to Terms

BharatOne may revise these Terms from time to time to reflect:

  • Changes in law.
  • Regulatory developments.
  • Technology updates.
  • Operational improvements.
  • Partner requirements.
  • Business modifications.

Updated Terms will be published on BharatOne's official website. Continued use of the Services after publication constitutes acceptance of the revised Terms.

19. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts located in Hassan, Karnataka, unless otherwise required by applicable law.
